Net Working Capital
📖Definition: Current assets (excluding cash, often) minus current liabilities (excluding debt, often) — the capital required to run day-to-day operations
📊Why it matters: It affects cash flow and deal economics. In acquisitions, a “normalized” NWC target often determines if the buyer gets cash back or pays extra at close
💡Example: If Accounts Receivable ($600k) + Inventory ($400k) − Accounts Payable ($500k) = $500k NWC. If the deal assumes $500k but closing NWC is $450k, the purchase price may be reduced by $50k
